The 10th Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region was Held in MUST and the MUST team Won Two Awards

Held by the Faculty of Law, MUST and China’Mergers & Acquisitions Association (CMAA), the grand closing ceremony of the 10th Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region was held on line on April 15, 2022. 16 teams appointed by Peking University, East China University of Political Science and Law, Nanjing University, Tsinghua University, Shanghai Jiao Tong University, Wuhan University, Xiamen University, China University of Political Science and Law, National Chung Cheng University ( Taiwan Province of China) Chinese Culture University (Taiwan Province of China), Soochow University(Taiwan Province of China), National Taiwan University(Taiwan Province of China), National Chengchi University(Taiwan Province of China), University of Macau and Macau University of Science and Technology had an excellent competition on M&A.

Dean of Faculty of Law, MUST Fang Quan, President of CMAA Yu Li Dong and Dean of College of Law, National Chengchi University(NCU) Xu Zheng Xian addressed on the closing ceremony respectively. Program Director of Faculty of Law, MUST, Xie Geng Liang presided over the competition events.

Dean Fang Quan expressed her sincere thanks to all participating teams, judges and guests for gathering on line with mutual assistance amid difficulties and briefed the development of MUST and introduced the Faculty of Law. She said that the Faculty of Law is one of the first four faculties as the Macau University of Science and Technology was founded. In accordance with the principle of “one country, two systems”,the Faculty has been influenced by the multicultural environment and set its mission and vision of Cultivating local and cross-border legal talents within the context of multiculturalism and internationalism. The Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region is an annual event in the region. Students could steel themselves to learn philosophy of life and methods of studying, and they would also take the chance to learn from each other. It is expected to learn from other institutions and enhance exchange and cooperation with law schools of other institutions through participating in and organizing the competition.

President Yu Li Dong said that the 10th Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region was restated on line, which is of great significance. He stressed that the competition has grown at the critical stage of the “go global” strategies for China’s enterprises as “the Belt and Road Initiative (BRI)” is flourishing. The CMAA has hosted the competition for four consecutive years with the consistent purpose of nurturing talents, which is also in accordance with the ideal of the competition. In the following days, the CMAA will strive to promote activities and training for public welfare among college students in the Asia-Pacific region and continue to nurture innovative and outstanding “M&A forces” and professional talents.

Dean Xu Zheng Xian introduced the origin and development of the Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region. He said that the competition comes from the breaktime activity of courses “ Case Study on M&A”set up by Professor Fang Jia Lin from the College of Law, National Chengchi University, Professor Lou Yong Jian from College of Business, National Chengchi University and Lawyer Lin Jin Fu from LCS & Partners. Finally, the competition, with the wisdom and efforts of the whole team, was set up at last. It has profound significance to transform the academic education from a single field, one-way teaching, the mechanical combination of theory and practice, to a multi-field, two-way communication, and the organic integration of theory and practice.

The competition consists of three sessions: writing the EOI, negotiating and reporting to the Board of Directors. The 16 teams were divided into 8 groups by drawing lots on March 9 and were required to write EOI of M&A and the judges of legal instruments would give scores and make comments on the EOI. Two teams of each group formulated their negotiation plan on the basis of M&A proposal of the opponent side on April 3, and started the mooting negotiation which lasted 11 days. In the end, the two sides would come to an agreement on the M&A contract or not. During the negotiation, all the members fully performed their professional knowledge, communication ability, team spirit and prudent academic attitudes, which showed the students’demeanor from all universities vividly.

In the final session of reporting to the Board on April 15, all teams explained the M&A proposal from the aspects of industry analysis, transaction structure and risk analysis, and answer questions from all the field judges on the basis of the fact whether the M&A deal has been reached. The professional and enriched presentation and outstanding performance indicated the students’ strong studying ability. In the inquiry session, the field judges asked questions about the key points of the proposal, which reflected the fairness, objectivity, and professionalism of the competition as well as the participants’resilience.

Zhang Ke, General Manager of Ernst & Young Financial Management Consulting Services Co., LTD , Audry Ho and Senior Counselor of Jones Day Law Firm, Chinese Taibei Office. Chen Tai Ming gave full support for the competition as the judges of legal instruments.

Through careful and serious consideration of all judges, China University of Political Science and Law and Group A of Team B of Macau University of Science and Technology won the Best M&A Proposal Award, National Taiwan University won the champion of Best Team Award,.Team A of Macau University of Science and Technology won the Best Legal Instrument Award. Zhang Yu Cheng, the year-two student of Master of Financial Crime and Regulation program, won the Best Team Member Award, Xu Qi Ye , the senior student of Bachelor of Law, won the Best Team Member Award and the Best Performance Award. The MUST Team A consists of Zhang Zhi Tong (team leader, year-one student of Juris Master program),  Zhao Hong Yi (senior student of Bachelor of Law, Xu Qi Ye (senior student of Bachelor of Law), Lin Jia Qi ( Junior student of Bachelor of Law), Hu Qiu Shi ( Junior student of Bachelor of Law), Pan Yi Xin (senior student from School of Business),, Assistant Professor Zhong Wen Cai served as the advisor of Team A. The MUST Team B  consists of Zhang Yu Cheng (team leader, year-two student of Master of Financial Crime and Regulation program), Liu Mo Hong (senior student of Bachelor of Law), Deng Wen Qi (junior student of Bachelor of Law), Wu Mei Ying ( year-one student of Master of International Economic and Commercial Law program), Li Kai Tuo ( year-one student of Juris Master program), Li Yi Nan (senior student of School of Business), Assistant Professor Peng Yu Peng served as the advisor of Team B. The MUST Faculty of Law, has organized teams to join in the competition for three consecutive years since joined the 8th competition in 2017and won Best Legal Instrument Awards for three times and a Best Industry Analyst Award.

The Mooting Competition of Corporate Mergers and Acquisitions in the Asia-Pacific Region, an annual event  in the region. It.aims to establish a platform for enhancing exchanges between higher education institutions in the Mainland, Taiwan Province of China, Hong Kong S.A.R and Macao S.A.R and communication between the business industry and academic field. As a regional and inter-disciplinary platform, the competition has been held for ten consecutive years since the first competition was held in 2011, as the popularity and scale expanding continuously. The competition breaks the traditional pattern and enables participants to join in the real-life opportunities for practical experience and discuss a series of issues about M&A proposal, industry analysis, valuation, tax and relevant laws, which achieve the seamless convergence between “tower of ivory” and practice. It also provides opportunities for dialogue between potential M&A talents and M&A professionals. All these are of great significance for exchange and cooperation between the youth, the development of M&A and nurturing of new-generation M&A talents in Asia Pacific region.
